Constitution of the Society of Theology and Thought

In General

Article I (Appellation)

The organisation is known as the Society of Theology and Thought(STT).

Article II (Location)

The Society is located at:
The School of Theology, Catholic University,
296-12 Changgyeonggung-ro, Jungno-gu,
Seoul 03083,
Republic of Korea

Article III (Purpose)

The Society seeks to enhance, focus, promote and publish professional research in Catholic theology, philosophy and related studies. A central concern of the Society is to facilitate the development of Catholic theology and philosophy through engagement with related academic disciplines both locally but also within Asia and the Universal Church.

Article IV (Key Activities)

The Society seeks to contribute to academic discourse in the following areas:

  • 1. The fostering and support of academic researchers in Catholic theology, philosophy and related disciplines;
  • 2. Hosting national and international academic conferences;
  • 3. Promoting co-operative research in theology and philosophy;
  • 4. Promoting inter-disciplinary research;
  • 5. The publication of the international journal, Catholic Theology and Thought;
  • 6. Publication of professional research;
  • 7. Facilitating closer co-operation between national and international research institutes;
  • 8. Other ancillary activities.

Chapter 1 – Membership

Article V (Membership)

Membership of the Society is available to those who meet the following conditions and receive approval from the Board of Directors. Applicants must:

  • 1. Be a Catholic, or sympathetic to Catholicism;
  • 2. Hold, or be in the process of obtaining, at least a Masters in Theology, Philosophy or a related discipline;
  • 3. Be willing to follow the spirit of the norms and regulations.

Article VI (Rights)

  • ① All members have the right to participate in and vote on all activities and affairs of the Society;
  • ② All members has the right to be elected to the Board of Directors.

Article VII (Duties)

  • ① All members must observe the laws and decisions of the Society;
  • ② All members must preserve the dignity of the Society;
  • ③ All members must pay an annual membership subscription.

Article VIII (Disciplinary Action)

The Board of Directors reserves the right to discipline those who breech the conditions of Article VII.

Chapter 2 – The Board of Directors

Article IX (The Board)

The Board of Directors and the Board of Trustees shall consist of the following:

  • 1. The President (1 person);
  • 2. Vice Presidents (5~6 persons);
  • 3. Chief Executive Officer (1 person);
  • 4. Academic Co-ordinator (1 person);
  • 5. Editorial Co-ordinator (1 person);
  • 6. IT Co-ordinator (1 person);
  • 7. Research Co-ordinator (1 person);
  • 8. Public Relations Co-ordinator (1 person);
  • 9. General Affairs Manager (1 person);
  • 10. Editorial Assistant (1 person);
  • 11. Secretary;
  • 12. Board of Trustees;
  • 13. Emeritus Board Members;
  • 14. Auditors.

Article X (Appointment and Term of Office)

  • ① The president and auditors of the board shall be elected at the Annual General Meeting. The remainder of the Board shall be appointed by the president;
  • ② The term of office shall be for two (2) years with the of re-election for a second term;
  • ③ In the event that the president is incapacitated, one of the vice-presidents will assume the role of president for the remainder of the term of office.

Article XI (Duties)

  • ① The president represents the Society, assumes the role of chairperson at meetings and responsible for the smooth running of the organization;
  • ② The vice-presidents assist the president in his duties and, in the event of an accident, have right of succession;
  • ③ The Chief Executive Officer is responsible for the general business of the Society, takes the minutes at meetings, handles correspondence and communications, as well as putting reports together;
  • ④ The Academic Co-ordinator is responsible for academic development, Academic conferences and facilitating of the academic subcommittee;
  • ⑤ The Editorial Co-ordinator establishes the editorial sub-committee, is responsible for editing and publishing the journal including the impartial evaluation of submitted manuscripts and deciding which will be published;
  • ⑥ The IT Co-ordinator for maintaining the homepage and related technologies;
  • ⑦ The Research Co-ordinator is responsible for encouraging and monitoring research projects undertaken by Society members;
  • ⑧ The Public Relations Co-ordinator facilitates external communications especially with like-minded institutions;
  • ⑨ Directors are members of the Board;
  • ⑩ Assistants facilitate and enable the smooth functioning of the work of the Society;
  • ⑪ Advisers consult with the president over the work of the Society;
  • ⑫ The Auditors regularly review the work and finances of the Society and provide a report to the AGM;
  • ⑬ The Secretary keeps the minutes and records the decisions of the AGM, the Board of Directors and the Editorial sub-committee.

Chapter 3 – Meetings

Article XII (Meetings)

Meetings of the Society consists of the Annual General Meeting (AGM), Special General Meeting, the Board of Directors and its various sub-committees.

Article XIII (The Annual General Meeting)

  • ① The AGM will be convened once a year;
  • ② In special circumstances, the steering committee or the petition of more than 20 members can cause a Special General Meeting to be convened.
  • ③ The business of the AGM shall include the following:
    • 1. the election of the president and auditors;
    • 2. approve the Board of Directors;
    • 3. changes to the constitutions;
    • 4. approve the budget and business plan;
    • 5. other related matters.

Article XIV (Board of Directors)

  • ① The Board of Directors consists of the president, vice-presidents, general manager, the editorial co-ordinator, IT co-ordinator, research co-ordinator, public relations co-ordinator, advisers and auditors;
  • ② The president is the chairperson of the Board;
  • ③ The purview of the Board is:
    • 1. Membership of the Society including the awarding of rewards and sanctions;
    • 2. the business plan;
    • 3. involvement with like-minded organisations;
    • 4. financial supervision;
    • 5. proposing amendments to the constitution;
    • 6. other related matters.

Chapter 4 – Subcommittees

Article XV (the Steering Committee)

  • ① The Steering Committee consists of the president, vice-presidents, general manager, the editorial co-ordinator, IT co-ordinator, research co-ordinator, public relations co-ordinator, assistant to the general manager, editorial assistant and secretary;
  • ② The President is the chairperson of the steering committee;
  • ③ The purview of the steering committee is:
    • 1. Suggest changes to the constitutions;
    • 2. to act as delegated by the AGM;
    • 3. to enact the business plan;
    • 4. to facilitate the academic conference;
    • 5. to facilitate publication of the journal;
    • 6. micromanage the activities of the Society;
    • 7. Decide to call a special general meeting;
    • 8. other related matters.

Article XVI (Academic Subcommittee)

Apart from the obligations and needs of the Academic Co-ordination, the academic subcommittee is free to establish its own rules of operation.

Article XVII (Editorial Subcommittee)

The Editorial Co-ordinator must establish a subcommittee which takes responsibility for editing and publishing Society publications, reviewing, accepting, and editing manuscripts as well as managing its own rightful affairs.

Article XVIII (Resolutions)

Decisions are reached by a simple majority of the members present at meetings.

Chapter 5 – Finances

Article IXX (Finances)

The Society's finances come from membership fees, contributions, Catholic University Songsin Campus Journal subscriptions, the Theology and Thought Foundation Fund and other sources.

Article XX (Financial Year)

The financial year is from the AGM until the day before the next AGM.

Article XXI (Mutatis mutandis)

Due process will apply where the constitutions are not clearly applicable.

Addendum

Article I (Enforcement Date)

This Constitution came into effect with the foundation of the Society on 21 April 2007.

Article II (Developments)

In 1989, the Society took over the publication of Catholic Theology and Thought (no.58), a journal first published by the Catholic University School of Theology in 1989.

Article III (Foundational Members)

The following 125 people were the foundational members of the Society:
